Joint Ventures & Entity Counseling
We represent developers, sponsors, owners, investors, and tenants in real estate joint ventures — from two-party partnerships to multi-member investment structures. We also counsel clients on the full range of non-corporate entity matters, including LLCs, partnerships, limited partnerships, and other alternative structures from formation through dissolution.
Project Development
We represent developers in structuring, negotiating, and financing complex development projects. Our counsel covers each phase — site evaluation, due diligence, acquisition, permitting, zoning, financing, construction, leasing, and disposition across retail, office, multifamily, industrial, life sciences, and mixed-use developments.
Acquisitions & Sales
We represent owners, developers, and investors in the purchase and sale of commercial real estate — multifamily, office, retail, industrial, and mixed-use properties. Our transactional work includes letters of intent, purchase and sale agreements, leases, brokerage agreements, and asset management agreements.
Financing
We represent developers, owners, and investors in commercial real estate financing — construction loans, permanent loans, refinances, and mezzanine financing with regional and national lenders. Our experience includes Fannie Mae, HUD/FHA programs, bond financing, and historic and affordable housing tax credits.
Leasing
We represent landlords and tenants in commercial leasing transactions across office, retail, restaurant, and specialty uses. We draft and negotiate leases and all related documents — guarantees, extension options, purchase options, exclusive use covenants, and work letters for tenant improvements.
Construction
We represent owners, contractors, subcontractors, and design professionals in the design and construction of residential and commercial developments. We advise on risk allocation, insurance, indemnity, AIA and custom contract forms, lien rights, retainage, and bonding requirements.
Private Client
We counsel high net worth individuals and families in structuring, negotiating, and documenting private real estate investments — with a focus on wealth building, tax planning, and portfolio diversification including Opportunity Zone and 1031 exchange transactions.
Title Insurance
We provide title insurance and escrow services for commercial and residential transactions — purchases, refinances, and construction financings. Our clients include national lenders, local and out-of-state law firms, title insurance companies, and developers on projects ranging from single-family residences to large multi-site developments.
Condominium & Homeowners Associations
